Terms &
Conditions.

The legal bit. Less glamorous than building creator businesses, but considerably more useful when everyone knows what they agreed to.

1. About OFANDI

These Terms & Conditions apply to services provided by OFANDI through this website and through separate proposals, order forms, statements of work or partnership agreements.

OFANDI is a growth and monetization partner for creators and related businesses. Our work may include strategy, offer development, digital products, funnels, systems, monetization, marketing infrastructure, operations and optimization.

2. When these terms apply

These terms apply when you use our website, submit a partnership application, request services, accept a proposal or otherwise enter into an agreement with OFANDI.

If a separate written agreement conflicts with these terms, the separate written agreement takes priority for that specific project or partnership.

3. Business clients and consumers

OFANDI primarily works with creators, entrepreneurs and businesses acting for professional or commercial purposes. Where you qualify as a consumer under applicable law, mandatory consumer protection rights continue to apply and cannot be excluded by these terms.

Consumer contracts must be presented in clear and understandable language, and unfair standard terms are not binding on consumers under EU law.

4. Proposals, scope and acceptance

The exact scope, deliverables, responsibilities, commercial model, timelines and fees are set out in the relevant proposal, statement of work or partnership agreement.

A proposal becomes binding when it is accepted in the manner specified in that proposal, for example by signature, written confirmation or payment.

Requests outside the agreed scope may require a revised timeline, additional fees or a separate agreement.

5. Fees and payment

Fees, revenue-share arrangements, retainers, one-off charges or other commercial terms are agreed per engagement. Unless stated otherwise, amounts are exclusive of applicable VAT and other taxes.

Invoices must be paid by the due date stated on the invoice or agreement. If payment is overdue, OFANDI may pause work after reasonable notice where permitted by law.

We do not charge undisclosed fees. For consumer contracts, the total price and any additional charges must be communicated clearly before the contract is concluded.

6. Client responsibilities

You are responsible for providing accurate information, timely feedback, access to relevant systems and any materials reasonably required to perform the agreed work.

You confirm that you have the necessary rights to any content, trademarks, images, data or other materials you provide to us.

Delays caused by missing information, approvals or access may affect delivery dates.

7. Intellectual property

Pre-existing intellectual property, methods, frameworks, templates, software, know-how and internal systems owned by OFANDI remain our property unless expressly agreed otherwise in writing.

Ownership and licensing of project-specific deliverables are defined in the relevant agreement. Where deliverables are transferred to you, that transfer may be conditional on full payment of all amounts due.

Your personal brand, audience, original content and pre-existing intellectual property remain yours.

8. Third-party platforms and services

Our work may rely on third-party tools, payment providers, social platforms, hosting providers, email tools, analytics systems or other external services.

We are not responsible for outages, policy changes, account restrictions, algorithm changes or service interruptions caused by third parties outside our reasonable control.

Where a third-party service has its own terms, you are responsible for complying with those terms where they apply to your account or use of that service.

9. No guarantee of financial results

OFANDI does not guarantee revenue, profit, audience growth, conversion rates or other specific commercial outcomes.

Any projections, calculators, forecasts or examples are illustrative and depend on many factors outside our control. In other words: useful for planning, not a legally binding crystal ball.

10. Confidentiality

Both parties must treat confidential business information received from the other party with reasonable care and use it only for the purposes of the engagement.

Confidentiality obligations do not apply to information that is already public, lawfully known before disclosure or required to be disclosed by law.

11. Data protection

Personal data is processed in accordance with our Privacy Policy and applicable data protection law, including the GDPR where applicable.

If our services require us to process personal data on your behalf, we may enter into a data processing agreement where legally required.

12. Cancellation and termination

Termination rights, notice periods and any consequences of termination are set out in the relevant proposal or agreement.

Either party may terminate for material breach if the breach is not remedied within a reasonable period after written notice, unless immediate termination is justified by law or the agreement.

Fees already earned, work already performed and other accrued rights remain due after termination unless mandatory law provides otherwise.

13. Consumer right of withdrawal

If you are a consumer and conclude a distance contract with us, you may have a statutory right to withdraw from the contract within 14 days without giving a reason, subject to applicable legal exceptions.

If you expressly ask us to begin performing services during the withdrawal period, you may be required to pay a proportionate amount for services already performed if you later withdraw.

Where a service has been fully performed during the withdrawal period with your prior express request and acknowledgement, the right of withdrawal may no longer apply where permitted by law.

To exercise a statutory withdrawal right, contact us at info@ofandi.com and clearly state that you wish to withdraw from the contract.

14. Liability

Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability that cannot be excluded under mandatory consumer law.

To the maximum extent permitted by law, OFANDI is not liable for indirect or consequential losses, loss of anticipated profits, loss of opportunity or losses caused by third-party platforms outside our reasonable control.

Any limitation of liability agreed in a separate contract applies only to the extent permitted by applicable law and must not create an unfair imbalance in consumer contracts.

15. Force majeure

Neither party is responsible for delay or failure caused by events beyond reasonable control, such as major service outages, natural disasters, war, government action, widespread internet disruption or similar events.

16. Changes to these terms

We may update these terms from time to time. Changes apply prospectively and do not retroactively alter an already concluded contract unless the parties agree or the law allows it.

The version in force when a contract is concluded remains relevant to that contract unless otherwise agreed.

17. Governing law and disputes

Unless otherwise agreed in writing, these terms are governed by the laws of the Netherlands.

For business clients, disputes may be submitted to the competent court in the Netherlands where legally permitted.

If you are a consumer, mandatory rights relating to jurisdiction and applicable consumer law remain unaffected. Consumers may also have access to applicable out-of-court dispute resolution mechanisms.

18. Contact

Questions about these terms can be sent to info@ofandi.com or by phone at +31 6 8164097.
